Your use of the Font Software is strictly limited to the number of End Users specified and paid for during purchase. With a single Desktop License, you can install the Font Software on up to two (2) devices, such as desktops, laptops, notebooks, netbooks, tablets, or smartphones. Additional End User licenses are required for each extra device. If you're a company purchasing a multi-user license, your employees can use the Font Software worldwide, provided they abide by this Agreement. It's your responsibility to inform and ensure compliance with the terms and conditions among your employees.
You can utilize the Font Software for personal design works, creating rasterized images for websites, and other personal uses. If you design or create works for third parties, such as clients, you're considered a "Designer" and can employ the Font Software for those works. However, the use by those third parties must adhere to the obligations and restrictions outlined in this Agreement, without the privileges of the Font Software license. Notify those third parties in writing about these obligations and restrictions. You cannot permit any third party to use your copy of the Font Software or transfer it to others. The Font Software can be used to print multiple copies of commercial products like clothing, packaging, posters, coffee mugs, etc., as long as the 250,000 instance limit mentioned in section 5.5 is not exceeded, and no other restrictions in this Agreement are violated. You can create a company logo using the Font Software, but refrain from including the typeface design in any trademark registration. Further usage restrictions are detailed in Section 5.
You're allowed to maintain a single backup copy of the licensed Font Software on the cloud, local devices (desktop, laptop, mobile), or studio server. Ensure that you're the only party with access to this backup copy. Sub-licensing, selling, leasing, renting, lending, or giving away the Font Software to any other person or entity is prohibited.
If you require the services of a service provider (e.g., commercial printer) and are unable to outline the fonts or convert them into flattened, graphical artwork, you can transfer a single copy of the required Font Software to that specific service provider. Once the job is completed, the service provider must delete the Font Software or purchase their own Desktop License. It's your responsibility to communicate this requirement to the service provider. Using the Font Software by any third party in any other circumstance is strictly prohibited.
In the event that the Font Software is found to be defective, it may be eligible for exchange. To initiate a refund claim, you must adhere to the following requirements: (a) provide confirmation that you no longer possess or control any copies of the Font Software, (b) furnish evidence of a valid purchase and a sales receipt from Piotr Łapa, and (c) supply any additional information requested by Piotr Łapa to substantiate your claim. All refund requests must be submitted within one (1) week from the date of purchase.
You are granted permission to embed or include the Font Software within electronic documents such as PDFs, PowerPoint presentations, Word documents, or similar formats, for personal or commercial purposes ONLY if the following conditions are met: A) The Fonts cannot be extracted and remain in a "read-only" state; B) The document containing the embedded Font Software is not intended for sale, resale, or mass distribution in any form; C) Online usage does not involve redistributing usable versions of the Font Software; D) The distribution of the document is limited to fewer than 250,000 instances. If documents containing embedded copies of the Font Software are intended for sale, a separate ePub License must be obtained from the shopping cart. Similarly, if the distribution of the document exceeds 250,000 instances, a separate Large Volume Commercial license extension must be acquired. For quotes or inquiries regarding these specific types of use, please contact us directly.
Without the express written consent of Piotr Łapa, you are prohibited from distributing, selling, modifying, including, adapting, translating, reverse engineering, decompiling, disassembling, translating into other font formats or formats for use with other devices, or copying the Font Software in any manner. Any alterations, derivations, or adaptations of the Font Software require explicit permission from Piotr Łapa or the designer, or both, as applicable. Piotr Łapa and the designer retain the exclusive right to create such modifications, derivations, or adaptations.
The usage of the Font Software is subject to certain restrictions, and in order to engage in the following activities, you must obtain the appropriate additional license or license extension. The descriptions provided below serve as examples for your convenience and do not limit the scope of any restrictions. If you require any of these specific uses or have inquiries regarding the applicable license, please reach out to us for further assistance.
You are prohibited from embedding the Font Software in electronic devices ("OEM"), including but not limited to desktop computers, smartphones, mobile devices, gaming consoles, media players, electronic kiosks, computer servers, smart televisions, or any other present or future devices, without acquiring a license extension. For this particular type of use, please contact us to receive a customized quote.
Embedding the Font Software within other software, such as application content, user interfaces, or any other content distributed electronically or via physical media for sale, is strictly prohibited without a license extension. For instance, if you intend to distribute software for platforms like PlayStation, Xbox, Wii, Mac OS, or Windows, which includes embedded copies of the Font Software, a license extension is required. Kindly reach out to us for a personalized quote if you require this form of use.
Additionally, if you plan to sell or distribute software for mobile devices (defined as devices running iOS, Android, Windows Phone, Blackberry, PalmOS, WebOS, or Symbian operating systems) containing embedded copies of the Font Software, a separate Mobile App License must be obtained.
The conversion of desktop font formats for web usage is strictly prohibited. This license does not grant permission to convert or transmit the Font Software over the Internet for purposes of font serving or font replacement using technologies such as WOFF2, WOFF, EOT, SVG & TTF, Cufón, sIFR, TypeKit, embeddable Open Type, or any other existing or future technologies. To utilize the Font Software on the web in such a manner, a separate WebFont License is required.
You are not allowed to provide the Font Software on a closed network to licensed end users over a network, LAN, WAN, or the Internet without a license extension. Each licensed end user must obtain an individual discrete license. If you require this type of use, please contact us for a quote.
Utilization of more than 250,000 instances of the Font Software for print or digital purposes, including products, documents, promotional campaigns, related materials, advertising campaigns, related materials, or product packaging, requires a Large Volume Commercial license extension. This encompasses each static, rasterized, non-moving appearance of the font in interior and exterior store/business signs, billboards, electronic billboards, product packages, social media posts, gas pump displays, coupons, media cases, book covers, and similar mediums. Please contact us for a quote if you require this type of use.
The creation of Letterform/Alphabet products for resale is strictly prohibited, including but not limited to uses in scrapbooking involving reproductions of individual letterforms, digital alphabets (Alphas), adhesive sticker alphabet products, embroidery letters or fonts, signage or numbering products, monogram products, rubber stamps, die-cut products, stencil products, tattoo flash, software, or any means of producing alphabets or letterforms using sewing and/or embroidery machines, die-cut devices, plotters, or any product containing images of the letterforms or derived images from the Font Software design for distribution or resale. (This restriction does not apply to laser or inkjet printers used for purposes commonly associated with professional design or sign-making facilities, provided the end product is a finished work of design or ready-to-use sign.) If you intend to engage in this type of use, please contact us for a quote.
The creation of personalized or customized products for resale, such as T-shirts, greeting cards, mugs, postage stamps, stickers, postcards, business cards, or invitations, on a per-order basis for retail sale through platforms like Café Press, Zazzle, or similar services, is not permitted without a license extension. Please contact us for a quote if you require this type of use.
Using the Font Software to create content that is broadcasted or streamed, including content displayed or streamed through terrestrial, satellite, or internet services (e.g., television, YouTube, Facebook, Instagram, Vine, digital billboards, gas pump screens, aircraft or taxi entertainment screens, jumbotrons, movie theaters, public spaces, etc.), necessitates a license extension. For this type of use, please contact us for a quote.
Piotr Łapa, on behalf of the designer, grants you a license to use the Font Software under the terms of this agreement. However, please note that ownership of the media or device on which the Font Software is recorded, if applicable, does not grant any rights, titles, or interests in the design of the Font Software itself. All copies of the Font Software, including those accompanying this document in downloaded files or recorded media (such as magnetic or optical media), remain the exclusive property of Piotr Łapa and/or the designer. The Font Software and the design embodied within it are the exclusive property of Piotr Łapa and/or the designer, protected under domestic and international copyright, trademark, and unfair competition laws. The various names associated with the Font Software and the fonts included within are the trademarks of Piotr Łapa or the designer. This Agreement does not grant you any rights to trademarks or any other intellectual property rights in the Font Software or any typeface design, except as expressly stated herein.
If you use the Font Software in a format that displays credits, such as in movies, television shows, awards ceremonies, or printed production credits, you agree to credit Piotr Łapa in the following manner: "(Font Name) © (Designer's Name) www.piotrlapa.com." Please note that this credit requirement only applies when credits are displayed as part of the format and does not extend to product packaging or similar instances.
In the event that the Font Software includes "dingbats" or other non-alphabetical glyphs, the usage of the artwork is subject to additional restrictions. Commercial utilization of such artwork, including but not limited to selling goods, logo design, retail packaging, or point-of-sale displays, is strictly prohibited without acquiring a license upgrade. Please contact us to obtain the necessary license extension for such uses.
You are not permitted to alter the Font Software in any way. This includes reformatting the Font Software into different formats or for use on different operating systems. Modifying or amending the embedding characteristics of the Font Software is also prohibited. The Font Software may not be used to create or distribute any electronic document in which the Font Software, or any part of it, is embedded in a format that allows the extraction, editing, alteration, enhancement, or modification by the recipient of such a document. Derivative works based on the Font Software may not be sub-licensed, sold, leased, rented, lent, or given away without obtaining written permission from Piotr Łapa. Piotr Łapa shall not be held responsible for unauthorized, modified, or improperly regenerated, adapted, or translated software or derivative works.
Any violation of the terms of this Agreement will result in the termination of the License. Upon termination, and without limiting any other remedies available in law and equity, you agree to promptly return or destroy the Font Software at the discretion of Piotr Łapa, and certify that no copies remain in your possession or control.
You are responsible for complying with all laws relating to the control of exports or the transfer of technology in connection with the use and distribution of the Font Software. The Font Software and documentation are provided with RESTRICTED RIGHTS. The use, duplication, or disclosure by the government, governmental authorities, employees, or vendors may be subject to restrictions set forth in federal law and regulations. If applicable, you agree to familiarize yourself with and adhere to any applicable rules, regulations, or statutes.
Subject to the representations and warranties stated herein, the Font Software is provided "AS IS" without any fiduciary obligation to you and without any other warranties of any kind. Both Piotr Łapa and the designer of the Font Software expressly disclaim all warranties, whether express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose, as well as non-infringement. Piotr Łapa does not warrant that the operation of the Font Software will be uninterrupted or error-free, or that the Font Software is without defects. The Font Software is not intended, and was not designed or manufactured, for use in any circumstances where the failure of the Font Software could result in death, personal injury, or severe physical or environmental damage. The Font Software is not fault-tolerant and is not intended for use in the control or operation of devices or equipment for manufacturing, or for use in navigational devices. This disclaimer of warranties applies to the fullest extent permitted by law in the applicable jurisdiction.
In no event will Piotr Łapa be liable to you for consequential or incidental damages, including damages from loss of business profits or savings, business interruption, loss of business information, and similar damages, or for any claim by any party arising out of the use of or inability to use the Font Software, even if Piotr Łapa has been advised of the possibility of such damages. Under no circumstances, subject to the conditions noted herein, shall Piotr Łapa or the designer's maximum liability to you or any third party exceed the replacement cost of the Font Software or the provision of substitute software, at the sole discretion of Piotr Łapa. This limitation of liability applies to the fullest extent permitted by law in the applicable jurisdiction.
You agree to defend, indemnify, and hold Piotr Łapa and Piotr Łapa's suppliers, including any designers of the Font Software, harmless from any losses, damages, expenses, and costs, including reasonable attorneys' fees, arising from any claim by a third party related to your breach of this Agreement or your acts, errors, or omissions.
This Agreement shall be governed by the laws of Poland, applicable to contracts entered into and performed wholly therein, without the application of its conflict of law provisions or the conflict of law provisions of any other jurisdiction. You expressly consent to the personal jurisdiction of the courts in Poland, as selected by Piotr Łapa, for the hearing or resolution of any disputes or actions arising out of or related to this License. You further expressly waive any jurisdiction or venue defenses and agree to service of process by certified mail with return receipt requested. All remedies are cumulative and not exclusive.
By using the Font Software, you acknowledge that you have read and understood this agreement, and you agree to be bound by its terms and conditions. You also agree that this agreement constitutes the complete and exclusive statement of the agreement between Piotr Łapa and you, superseding any prior proposals or agreements, whether oral or written, and any other communications relating to the subject matter of this Agreement. No variation of the terms of this agreement or any different terms will be enforceable against Piotr Łapa unless Piotr Łapa provides express written consent. If any provision of this agreement is deemed void or unenforceable, that provision will be enforced to the maximum extent possible, and the remaining provisions of this agreement will remain in full force and effect. In the event that Piotr Łapa initiates any collection or enforcement efforts or legal action to interpret or enforce this Agreement, you will be responsible for paying reasonable attorneys' fees incurred by Piotr Łapa. If you are a designer and Piotr Łapa brings any enforcement efforts or legal action against any third party for whom you work, arising from your obligations in this Agreement or the violation by that third party of any applicable restrictions or obligations in this Agreement, you will be responsible for paying reasonable attorneys' fees incurred by Piotr Łapa. This Agreement will not be construed against any party by reason of its drafting or preparation. Piotr Łapa expressly reserves the right to amend or modify this Agreement at any time and without prior notification.
